Website Development Contract

This Agreement _ made this 02nd day of May 20__, between ____.com, having its principal place of business at ________________________________________, _ Company Name having their principal place of business at Company’s address including country. In consideration of Company Name retaining Scottmanning.com _ conduct an independent service for Company Name it _ agreed as follows:

1. Compensation _ Terms

Company Name hereby retains ___.com _ ____.com hereby agrees _ perform _ following services:

- ____.com will perform _ following jobs:

- Complete design of Company Website in _ theme _ navigational setup specified by Company Name.

- This will include _ following sections:

4.       __________

As well as _ sub-sections found therein.

- Company Name will provide _ following:

1.       All images, graphics, _ logos _ be used in Company Website

2.       All text _ be used in Company Website

3.       Detailed description of navigational systems _ themes _ be used throughout _ design of Company Website

- Time Detail:

1.       _____.com will begin _ development of Company Website upon _ completion of this contract, _ having received a down payment of $3000.00, as well as _ necessary content _ begin _ website development.

2.       Each section of _ website will be completed within two weeks of _____.com having received _ necessary content from Company Name.

3.       ____.com will not be held responsible for production delays resulting from hosting company problems, technical problems, _ client delays.

- _ following fees shall apply:

1.      $3000.00 down payment _ begin website development

2.      $3000.00 payment upon approval of _ website graphical _ navigational layout by Company Name.

3.      $3000.00 final payment upon _ acceptance of _ completed site.

4.      $75.00 per hour for future site updates including but not limited _ adding press releases, modifying product specs, etc. This will include any drastic changes _ the website including, but not limited to, changes in theme _ navigational structure after having commenced development of _ initial design agreed upon. Any updates taking longer than three workdays will require an additional contract.

2. Confidentiality

This Agreement creates a confidential relationship between _____.com _ Company Name. Information concerning ____.com’s and/or Company Name business affairs, vendors, finances, properties, methods of operation, computer programs, employees, documentation, _ other such information whether written, oral, _ otherwise, _ confidential in nature. _____.com, Company Name _ employees of both will adhere fully _ this confidentiality agreement.

3. Governing law

4. Entire agreement

7. Non-Competition
Both ____.com _ Company Name agree _ non-competition regarding their respective customers. Neither company will attempt _ take any customers from _ other company for any reason whatsoever. Any client information will be kept confidential between _ companies _ will be used for _ sole purpose of performing _ contractual services as herein defined in this document.
 
8. Source Files _ Copyrights
Company Name will retain all source files including their copyrights. No royalty fees will need _ be paid _ ______.com for their use.
 
9. Agreement Timeout
Company Name _ responsible for supplying all needed content _ _____.com by Mutually Agreed Upon Date. If Company Name does not provided _ full content by Mutually Agreed Upon Date, Company Name will incur a late fee of ­­­­­­­­­­­­­­­­___________ _ will be given a month _ supply _ rest of _ content. If Company Name does not supply _ content, then _ contract agreement between Company Name _ _____.com will become void.
